Bidding Announcement
中机国际招标公司（以下称采购代理机构）受中华人民共和国商务部（以下称采购人）的委托，以公开招标方式选择商务部律师事务所库—国际投资法律事务子库境外律师事务所，邀请符合资格条件的律师事务所（以下称投标人）参加投标。
CMC International Tendering Company (hereinafter referred to as “the Procurement Agent”), entrusted by Ministry of Commerce of the People's Republic of China (hereinafter referred to as “the Purchaser”), now invites eligible and qualified law firms (hereinafter referred to as “the Bidder”) to submit sealed bids for selection of law firms’ entry into the Ministry of Commerce’s Candidate List of Law Firms—Sub-List for International Investment (Foreign Law Firms).
一、招标内容
Bidding Contents
商务部律师事务所库—国际投资法律事务子库境外律师事务所，最大中标人数量为20家。符合资格条件的投标人为10-20家时,淘汰综合得分排序最后的1家。
For the project of Ministry of Commerce’s Candidate List of Law Firms—Sub-List for International Investment (Foreign Law Firms), the maximum number of the winning Bidder shall be 20. If the number of the eligible and qualified Bidder is between 10 to 20, the last one in comprehensive score shall be phased out .
二、投标人资格
Qualifications of the Bidder
投标人应当具备下列条件：
The Bidder shall be with the following conditions:
（1） 投标人应为在中国境外合法设立的律师事务所（含在港澳台地区注册的律师事务所）；
The Bidder shall be law firms legally established in the regions outside the PRC. (including law firms established in Hong Kong SAR, Macao SAR and Taiwan Province of China) ;
（2） 具有独立承担民事责任的能力；
Having the ability to independently bear civil liabilities;
（3） 具有良好的商业信誉和健全的财务会计制度；
Having good business reputation and sound financial and accounting system;
（4） 具有承办委托法律服务事项的团队和能力;
Having a team with the ability to provide the entrusted legal services;
（5） 已购买本项目招标文件。
Having bought the Bidding Document of this project.
三、招标文件的获取方法
Method of Obtaining the Bidding Document
（1） 本项目招标文件为PDF格式电子文件。
The Bidding Document of this project is an electronic version in PDF format.
（2） 招标文件发售时间：2013年9月6日上午9：30到2013年10月8日下午4:00。
Time Availability of the Bidding Document: starting from 9:30 am September 6 ,2013 to 4:00 pm October 8,2013,（Beijing Time）
（3） 招标文件售价：80美元，售后不退。
The price of the Bidding Document is USD 80.00, which is non-refundable after sale
（4） 投标人可通过浏览附件1以了解本项目服务要求。如需购买招标文件，可通过银行将标书款电汇至中机国际招标公司账户（开户行:中国银行总行营业部，开户名：中机国际招标公司，账号:7783 5003 9515,银行代码:KKCHCNBJ）。
Bidders may browse Annex 1 to see the service requirements of this project. If intending to buy the Bidding Document, the Bidder may transmit the Bidding Document fees by telegraphic transfer (T/T) to the account of CMC International Tendering Company (Bank Name: Bank of China, Head Office, Beneficiary: CMC International Tendering Company, account No.:7783 5003 9515, Swift code: KKCHCNBJ).
如投标人通过电子邮件方式获取招标文件，投标人须填写“购买标书申请表”(见附件2）并将该表与标书款银行汇款凭证扫描件发电子邮件至houchen@citc.genertec.com.cn以索取本项目招标文件。采购代理机构将在收到邮件后12小时内将招标文件电子版发送给投标人。
To obtain the Bidding Document through email, the Bidder shall complete “Application Form for Purchase of Bidding Documents” （see Annex 2) and send the scanning copy of this form and Bank Transfer Voucher of the Bidding Document fees to the email address of “houchen@citc.genertec.com.cn” for obtaining the Bidding Document. The Procurement Agent will send electronic Bidding Document to the Bidder within 12 hours after receipt of the said email.
如投标人通过在中国通用招标网（www.china-tender.com.cn）下载的方式获取招标文件， 投标人须在中国通用招标网（www.china-tender.com.cn）注册（注册帮助电话：010-63348126，010-.；联系人：刘青刚、李国梁）。注册完成后，将标书款银行汇款凭证扫描件发电子邮件至houchen@citc.genertec.com.cn。采购代理机构将在收到邮件后12 小时内开通投标人下载招标文件权限。
To download the Bidding Document on “www.china-tender.com.cn”,Bidders should register on “www.china-tender.com.cn”(Register assist Tel.:+ 86 10-63348126，+ 86 10-.;Contact person:Liu Qinggang, Li Guoliang ). After successfully registered， the Bidder should send the scanning copy of Bank Transfer Voucher of the Bidding Document fees to the email address of “houchen@citc.genertec.com.cn”. The Procurement Agent will give the Bidder permission to download the Bidding Document within 12 hours after receipt of the said email.

四、投标
（1）投标截止时间：2013年10月9日9:30（北京时间）
Deadline for Bid Submission: 9:30am October 9 , 2013, (Beijing Time)
（2）投标保证金：7000元人民币（或等值的美元或欧元）（确定中标人后5个工作日内退还投标保证金及利息）
The amount of the Bid Security: RMB 7,000.00 yuan （or equivalent of US Dollars or Euros）(The bid security and interest will be returned within five working days after Notification of Award is issued)
（3）中标服务费：投标人如中标，应向采购代理机构缴纳7000元人民币（或等值的美元或欧元）中标服务费。如投标人还在商务部律师库其他子库中标，每包应缴纳5600元人民币。
The bidding service fee: If winning the bid，the Bidder shall pay RMB 7000 yuan or equivalent of US Dollars of Euros to the Procurement Agent. If winning other bid in other sub-list of the Ministry of Commerce’s Candidate List of Law Firms, the Bidder shall pay RMB 5600 yuan per package.
五、投标文件递交地点

投标截止时间之前递交的，可以专人送达，也可通过邮寄送达。邮寄送达的投标文件递交时间以采购代理机构签收时间为准。

六、开标
Bid Opening
采购代理机构将于2013年10月9日9:30（北京时间），在通用技术大厦三层第一会议室举行开标仪式。投标人可派代表出席。
The bid opening will take place at 9:30am on October 9, 2013 (Beijing Time) by the Procurement Agent at the 1st Meeting Room, the 3rd Floor, Genertec Plaza. Bidders may choose to attend the ceremony.

第一部分：律所工作事项和内容
Part 1: Law Firm’s Work Items and Contents
在中华人民共和国法律法规允许的范围内，协助提供以下服务：
The law firm shall provide following services in accordance with the laws of the People's Republic of China:
一、为中国政府进行与投资相关的经贸协定谈判提供辅助性服务，为涉及中国政府的国际投资争端案件提供法律服务。
1.Provide supplement legal services for the Chinese government in economic and trade agreements negotiations related to investment. Provide legal services to the Chinese government in its international investment dispute cases.
二、在协助中国政府进行与投资相关的经贸协定谈判方面，承担与谈判相关的基础性和辅助性研究、资料收集、整理等工作；研究分析国际投资规则、主要国家的外资法律法规。在涉及中国政府的国际投资争端案件方面，分析、运用相关国际投资规则，提供各项法律服务，包括提供法律建议、协助起草相关法律文件、收集证据材料等。
2.In the aspect of supporting the Chinese government in economic and trade agreement negotiations related to investment, undertake basic and auxiliary research, data collection, sorting and other work related to the negotiations; Research and analyze international investment rules and the foreign investment laws and regulations of major countries and the investment legal framework of China. In the aspect of Chinese government's international investment dispute cases, analyze and use relevant rules of international investment, provide legal services including the provision of legal advice and assisting in drafting relevant legal documents and collecting evidence and other materials.
第二部分：律所工作质量要求
Part 2: Requirements for the Content and Quality of Law Firm’s Work
一、了解国际投资法规则，熟悉政府多双边经贸谈判的有关法律问题。
Understand international investment rules, familiar with legal issues in relation to government’s bilateral and multilateral trade and economic negotiations.
二、熟悉国际投资争端解决机制。
Familiar with international investment dispute settlement mechanism
三、精通相关国际投资争端案件的发展进程，如历史背景、争端解决进程。精通争端涉及的措施及主要法律问题。能够熟练收集并精通案件事实。
Proficient in the development process of the relevant international investment disputes cases, such as historical background, the dispute settlement process. Proficient in measures involved in disputes and major legal issues. Skilled in collecting and using facts of the case .
四、在处理案件过程中，每项主要法律主张及其法律推理、分析应全面充分、重点突出、条理清晰、表述精简。精通所涉国际规则的法律分析过程、结论，以及对规则的重要解释、运用等。
In the process of handling cases, each of the main legal claim and legal reasoning, analysis, should be comprehensive, focused, coherent and fully expressed. Proficient in international rules involved legal analysis, conclusion, and the important interpretation of the rules and use, etc.
五、能够深入分析案件的意义，如对国际投资规则的发展，对跨国投资可能带来的影响等。
Having the ability to give detailed analysis of the significance of cases, such as potential impact on the development of the rules of international investment and transnational investment.

Requirements on Ability
团队成员数量充足，且具备提供符合工作质量要求的法律服务的专业水准和相关经验。
The number of the team members should be sufficient, and have the professional standards and relevant experience in offering legal service that can meet the quality requirements of such service.
二、关于工作态度的要求
The Attitude toward Work Requirements
团队成员恪尽职守，并保持必要的谨慎和勤勉，严格按工作时限完成工作任务。
The team members should fulfill their duties, and maintain the necessary prudence and diligence, and complete the work strictly according to the working time.
